Terms of Service

1. Introduction

Welcome to IntelWatch (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the IntelWatch platform available at intelwatch.ai, including any associated APIs, mobile applications, and services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Account Terms

To use the Service, you must create an account with a valid email address and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must notify us immediately at support@intelwatch.ai if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Access the Service through automated means (bots, scrapers, etc.) except through our provided APIs.
• Resell, redistribute, or sublicense access to the Service without our prior written consent.
• Use the Service to harass, abuse, or harm another person or entity.
• Upload or transmit any malicious code, viruses, or harmful data.

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these terms.

4. Payment and Billing

Certain features of the Service require a paid subscription. All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service in addition to these Terms.

Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select. All fees are non-refundable except as required by law or as otherwise stated in these Terms. We may change our pricing at any time, but any price changes will take effect at the start of your next billing cycle. We will provide you with reasonable notice of any pricing changes.

If payment fails or your account becomes past due, we may suspend access to the Service until payment is received. You are responsible for any taxes applicable to your use of the Service.

5. Data Handling

You retain ownership of all data you provide to the Service (“Your Data”). By using the Service, you grant us a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service.

Competitor intelligence data generated by the Service (“Intelligence Data”) is derived from publicly available sources. We do not guarantee the accuracy, completeness, or timeliness of Intelligence Data. You are solely responsible for how you use Intelligence Data and any decisions made based on it.

6. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by IntelWatch and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content, nor may you reverse-engineer or attempt to extract the source code of the Service, unless laws prohibit those restrictions or you have our written permission.

7. Termination

You may cancel your account at any time through your account settings or by contacting us at support@intelwatch.ai. Upon cancellation, your access to the Service will continue until the end of your current billing period, after which your account will be deactivated.

We may suspend or terminate your account at any time for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease. We will make commercially reasonable efforts to allow you to export Your Data for 30 days following termination, after which Your Data may be permanently deleted.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTELWATCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless IntelWatch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
